Business Communication in Toyota Essay

1. Introduction In Toyota Motors Corporation there are several communication methods by which employees share their ideas, information, opinions and feelings. The following are some of the methods of internal communication: news-letter, face to face, notice board, memo, e-mail, telephone, text messages, and instant messaging. The sharing ideas, information, opinions and feelings contribute to the operations of teams and the work of individuals within the corporation. I will suggest about four methods of two-way internal communication. 2. Vertical Communications Vertical Communication is the communication between those who are on different levels of authority within the company. For example, manager to employee, general manager to managers, foreman to machine operator, head of the department to cashiers, etc. Vertical communications occurs between hierarchically positioned people and can involve both downward and upward communication flows. i. Downward Vertical Communication Downward Communication is more prevalent than upward communication. Downward Communication flows from supervisor to employee, from policy makers to operating personal, or from top to bottom on the organization chart. As messages move downward through successive levels of the organization, they seem to get larger. If top managers communicate directly with immediate supervisors and immediate supervisors communicate with their staff. A simple policy statement from the top of the organization may grow into a formal plan for operation at lower levels. Their decisions taken at the top of an organization are broadly stated policies in line with organization. Downward communication is used by the managers for providing a complete understanding of the employees’ job as well as to communicate them how their jobs are related to other jobs in the organization. ii. Upward Vertical Communication Upward communication generally is feedback to downward communication. Although necessary and valuable, upward communication contains risk. When management requests information from lower organization levels, the resulting information becomes feedback to that request. Employees talk to supervisors about methods of doing it, and their discernment of the  organization. Upward communication leads to a more committed and loyal workforce in an organization because the employees are given a chance to raise and speak dissatisfaction issues to the higher levels. The manager get to know about the employees’ feelings toward their jobs, peers, supervisor and organization in general. Managers can according to take the actions for improving things. These comments are feedback to the downward flow transferred in both spoken and written form by group meetings, procedures, company news releases, and grapevine. It is used to communicate links with down levels of employees and communicate with the staff in a sown level of their seniors. 3. Horizontal/Lateral Communications Horizontal Communications are messages sent between staff on the same level of the organization hierarchy. It indicates the exchange of information between individuals in different departments or divisions within the same organization. Often, it occurs in staff relationships. There are two kinds of communication in horizontal communication. They are direct horizontal communication and indirect horizontal communication. v. Direct Horizontal Communication This indicates the exchanges of information between individuals of similar position in different departments. Such as in Toyota Car Company, a middle management from department 1 to direct communicates to another middle management from department 2. It is between similar position direct communications. This type of communication ensures coordination of activities and increases cooperation between managers and similar organization. Managers are having little understanding of the objectives or other problems such as production and marking. For example; they may be form conflict because of their different objectives and ideas. Hence, the vital importance of planning/control meetings, establishment and discussion of corporate plans and budgetary control for the whole organization. vi. Indirect Horizontal Communication This indicate communication between each level of department and different level of another department. Such as a middle management in department 1  communicates to other foreman supervisors in department 2. For example; in Toyota Car Company, the leader in department is indirect other department of manager. It is used to communicate with the staff relationships. And then we can also prepare direct and indirect plan to meet the staff.  But we will notice that a number of staff seen to have problems in understanding the message about the lack of bonuses. At that time, we will solve these problems. So, we need to communication to answer for the questions. We will need important communication. They are non-verbal communication, meta-communication and paralanguage. 4. Non-verbal communication Non-verbal communication is the process of communicating through sending and receiving wordless messages. Non-verbal communications include facial expressions, the tone of the voice, gestures displayed through body language or posture; facial expression and eye contact, sense of touch, sense of smell and body motions, object communication such as clothing, hairstyles or even architecture, or symbols and info graphics. Other mean, in the process of communication is talking without speaking a word. These non-verbal signals can give clues and additional information and meaning over and verbal communication. Define or reinforce the relationship between people and provide feedback to the other person. For example, nodding and shaking are also important techniques when listening to the other person speaks. It shows that to use nodding and shaking can presented you are listening and you can understand what the speaker is talking anything. 5. Meta-communications Meta-communications is a good special form of the communication that indicates how verbal information should be understood and interpreted. I think that it being using in surrounding. It concerns stimuli surrounding the verbal communication that also have meaning. It may be supportive and facial expression. For Example, we often used (x) in mathematics. It represents unknown number. It functions as a formal definition of the function of meta-communication in the communication. 6. Paralanguage Paralanguage may be expressed consciously or unconsciously, and includes the pitch, volume and in some cases, intonation of speech. The study known as paralinguistic. Paralinguistic is a long word and use for the noises people. In school, teacher is often using this to show the agreement – â€Å"uh-huh†, â€Å"mm†, â€Å"uh-oh†, â€Å"oh† and so on. They are often useful. For example; like smiling. We will explain about the important main of communication. And decision which may prevent the staff from understanding the information about the lack of bonuses. There are three main barriers to communication. * Emotional Interference- An emotional individual may not be able to communicate well. If someone is angry, hostile, resentful, joyful, or fearful, that person may be too preoccupied with emotions to receive the intended message. If you don’t like someone, for example, you may have trouble â€Å"hearing† them. * Conflicting Messages- Messages that cause a conflict in perception for the receiver may result in incomplete communication. For example, of a person constantly uses jargon or slang to communicate with someone from another country who has never heard such expressions, mixed messages are sure to result. Another example of conflicting messages might be if a supervisor requests a report immediately without giving the report writer enough time to gather the pro per information. * No Provision for Feedback- Since communication is two way process, the sender must search for a means of getting a response from the receiver. If a team leader does not permit any interruption nor questions while discussing projects, he may find that team members may not completely understand what they are to do. Face-to-face oral communication is considered the best type of communication since feedback can be both verbal and nonverbal. When two communicators are separated, care must be taken to ask for meaningful feedback. We should prepare the interviews about concerned that staff have become de-motivated by the decision to discontinue bonuses and by the success of Toyota competitors. We should prepare meeting the staff and employee. An interview is only effective if it is thoroughly prepare the necessary information plane. We make sure that we have all the  necessary data. We need to prepare the files and all the relevant matter. And then we also need to explain the staff why we will to de-motivate by the decision to discontinue bonuses. We prefer need make matters notes which are particularly important to say. We knew that in the interview, the staff will ask any specific questions. So, we require making answer to answer the questions. And other then, we should plan a time for meeting with the staff. And also need to interview one to one. So, we need to decisions or action for the meeting. 7. Four different types of questions And then in the interview, there are form four different types of question. They are closed questions, open questions, follow-up questions and leading questions. Closed questions are those which have only a very limited range of responses, often only say â€Å"yes† or â€Å"no†. Closed question should not always be thought of as simple questions that anyone can quickly answer merely because they require a yes or no answer. Closed questions can also be very complicated. For example, â€Å"Is one in binary equal to one in counting numbers?† is a closed question that not everyone would be able to quickly answer. Other example, asking someone if they have done something invites just those two alternatives Open questions are ones that require more than one word answers. The answers could come in the form of a list, a few sentences or something longer such as a speech, paragraph or essay. Open questions invite a more developed response, often involving the speaker’s opinions or feelings as well more information or evidence in support of an argument. For example, how do we fell to which employee? How do we improve for our Toyota Car Company? These types of question tend to close down opportunities for discussion. They should be used sparingly, if at all. They can be useful, though, for determining the other person’s position on an issue as a prelude to follow-up question which does open-up the discussion. We should also need to understand leading questions. These are questions which in their wording or their tone, suggest a particular answer and, again  they do little to take the communication forward. In fact, they are usually inviting conformation of the questioner’s position, rather than opening up the discussion. 8. Group Conflicts In Toyota Car Company, we have to explain many problems. We have taken notice from employee’s feedback that some employees are worry about the potential 35,000 redundancies worldwide which Toyota Car Company are planning to undertake in the next few years. So, this is also form group conflicts in the workforce currently. In the shop floor level of organization, there appears to be group conflicts. It forms in intergroup, departments. The group members are often necessary to complete the work required to operate a business. Sometime, groups inter-relate to accomplish the organization’s goals and objectives, and conflict can occur. At the time, we will form concern between the staff. It occur group conflicts in the workforce currently may be work interdependence, goal variances and the increased demand for specialists. Differences in perceptions among groups regarding time and statues, when coupled with different goals, can also create conflict. For examples, the group to produce the new design of Toyota Car, but members is different idea design to produce car. It will appear to be conflicts in the group. Boss have taken notice from employee’s feedback that some employees are worried about the potential 35,000 redundancies worldwide which Toyota are planning to undertake in the next few years. This is also having a negative impact on working with teams. There are some reasons to causes the group conflicts. We make plan for the group conflicts to organize and plan the redundancy process. We will write answers to retrench some staff and remove bonuses for thousands of senior employees as it tries to regain investor confidence and stopping bonuses are the latest steps in an extensive cost cutting drive that will lead the company to cut 35,000 jobs worldwide in the next five years in the face of a competitive car market. Confirmation of the bonus decision is expected this month when Toyota unveils its full results the company make record losses. Toyota traditionally pays bonuses in March to all senior staff members worldwide. Due to the changes in economic performance, staffs were not given any bonus payments last year. When Toyota  Car Company grew much larger than began, corporate evolution meant an increase in office space, include the technology. Advances in technology have many new methods of communication to communicate with employee, suppliers. 9. Intranet for employee communication We need to use intranet communication to communicate with employee. This communication links with our company employees connections. For example; in Toyota Car Company, manager should be discuss with employee for to produce new communication. As a group, need to communication links with the down levels of employees. For example; in a group, our received a new order from customer, we are discuss with employee (intranet communication) to produce it new order. So, intranet communication need to communicate with employee. Intranet communication helps to improve communication with employee. It support links with customers and partners. Employees can view up to date information about the company and changes being made. 10. Extranet for communication with Ford’s suppliers This communication links with both their input and output connections. For example, our Toyota Car Company will have communications with our suppliers of raw materials and spare parts and with all of our customers. As our organization grow, the number of communication links with the outside environment increases. It is important that the extranet communication should be integrated with the internal communication. For examples, our received an order from a supplier (external communication) has to be processed and executed within the organization (internal communication) and then the documents of sales, plans and invoice have to be sent to the customer (external communication). So, external communication is preferred need that communicates with suppliers and customers. Extranet communication helps in improve company efficiency and output by automating procedures that were done manually in the past. They can help in improving relationships with main or potential suppliers by giving them correct, precise and efficient information. This helps in cutting down the meetings time and is also helpful when doing our business having with partners located in different countries and in different time zones. 11. Email for sending press releases to the national press This email with the development of electronic office communication based on computers, the ability to send and receive messages. We are using internal email to send to national press for to develop to know that many different kinds of Toyota car. As use email, we will easy to link with our customers and suppliers. Email communication has many advantages such as emails it the most wide used application on the internal. Email communication has many advantages such as email is the most wide used application on the internet. It can easy to get embarrassing comments. Email communication is effective to business. It is easy to distribute information such as many kinds of car designs. And then the person can also order news car from passing email. So, we also need email to send press releases and send national press. The organization charts are also need to show for business. Organization charts is very important to an organization. An organizational structure should enable the organization to change or to respond according to its environment. If it is very effective it is called a flexible structure. Mainly there are two types of structure. They are organic structure and mechanistic structure. It has few rules and regulations, encourages employee teamwork, and decentralizes decision making to employees doing the job. The Business Development Manager mention the percentage of sales from each regional sales office in North America are 15%, 22%, 18%, 28%, 7%, 10% . It is also known as working capital ratio or 2: 1 ratio. It is calculated by dividing the current assets by current liabilities. The main components of this ratio are current assets and current liabilities. Current assets of a firm represent those assets which can be, in the ordinary course of business, converted into cash within a period not exceeding one year. Current liabilities mean those obligations which are to be paid within a period of one year of current assets or by creation of current liabilities (Van Horne, Wachowicz & Bhaduri, 2005). Current ratio of the Starbucks Corporation and McDonalds Corporation is . 79 and . 80 respectively in the year 2007. There is little difference in the current ratio of both the companies. The ratio reflects weak liquidity position of both the companies and it shows that the companies do not have short term solvency. Liquidity position can be improved to some extent and can be made equivalent to industry average. The industry average of current ratio is . 90: 1. Quick Ratio This ratio is also helpful in analyzing short term financial position of a business. Quick ratio is the measure of the instant debt paying ability of the business enterprise, hence it is called quick ratio (Van Horne, Wachowicz & Bhaduri, 2005). A quick ratio of 1:1 is considered as an ideal ratio. If the liquid ratio is more than 1:1, the financial position of the firm seems to be sound and good. On the other hand, if the ratio is less than 1:1 the financial position of the firm is unsound. Quick ratio of Starbucks is . 30:1 and McDonald’s ratio is . 67:1. There is high difference between the quick ratios of both the corporations. McDonald’s liquidity position is much better than Starbucks. Overall, the short term liquidity position of both the firms is quite poor because both the ratios are less than the desired norms. For instance, current ration should be 2:1 whereas, it is 1:1 approximately. Similarly the liquidity ratio is much less than 1 as compared to ideal standard of 1:1. Therefore, the companies will face difficulties in current obligations on maturity. Debt Equity Ratio This ratio indicates the relative proportion of debt and equity in financing the assets of a firm. Debt Equity ratio reflects the relative claims of creditors and shareholders against the assets of a firm. The industry average of ratio is . 42:1. Debt equity ratio of McDonalds is . 92:1 which is highly satisfactory as normally the ratio of 1:1 is considered reasonable. The Starbucks ratio is 1. 34:1 which is very high. A high debt equity ratio has serious implications from the firm’s point of view. A high proportion of debt in the capital structure lead to inflexibility in the operations of the firm as creditors would exercise pressure and interfere in management. Proprietary Ratio Proprietary ratio establishes relationship between proprietors or shareholder’s funds and total assets of the business. This ratio highlights the general financial strength of the firm. It is of great importance to creditors since it enables them to find out the proportion of shareholder’s funds in the total assets used in the business. The ratio of Starbucks is . 43:1 and for the McDonalds it is . 52:1. Though, ratios are quite similar but McDonalds again has a better position than Starbucks Corporation. Solvency Ratio This ratio measures the long term solvency of the business. It reveals the relationship between total assets and total external liabilities. This ratio measures the proportion of total assets provided by creditors of the firm i. e. what part of assets being financed from loans (Van Horne, Wachowicz & Bhaduri, 2005). The total assets of Starbucks and McDonald’s are more than total liabilities which indicates that the company is solvent. So, the higher the ratio, the grater is the amount of creditors that is being used to generate profit foe the owners of the firm. The difference in both the companies’ ratio is small but still Starbucks has better performance than McDonald’s in terms of solvency. Inventory Turnover Ratio The ratio indicates the number of times inventory is replaced during the year. It measures the relationship between the cost of goods sold and the inventory level. The inventory turnover ratio measures how quickly inventory is sold (Van Horne, Wachowicz & Bhaduri, 2005). The inventory turnover ratio of Starbucks is 12 times while McDonald’s ratio is 118 times. McDonald’s has an efficient inventory management. Whereas Starbucks has low inventory turnover ratio and it is unsatisfactory. In general, a high inventory turnover ratio is better than a low ratio. A high ratio implies good inventory management. A very low level of inventory has serious implications. It adversely affects the ability to meet customer demand as it may mot cope up with its customer requirements. Gross Profit Ratio The ratio expresses the relationship of gross profit on sales to net sales in terms of percentage (Van Horne, Wachowicz & Bhaduri, 2005). Goss profit is the result of the relationship between prices, sales volume and costs. Gross profit margin of Starbucks Corporation is 23% whereas the ratio for McDonald’s is 35%. McDonald’s ratio is high as compared to Starbucks which is a sign of good management. It implies that the cost of production of the firm is relatively low. The McDonald’s has reasonable gross margin which ensures adequate coverage for operating expenses of the firm and sufficient return to the owners of the business, which is reflected in the net profit margin. Net profit Ratio This measures the relationship between net profits and sales of a firm. The net profit margin is indicative of management’s ability to operate the business with sufficient success not only to recover revenues of the period, the cost of merchandise or services, the expenses of operating the business and the cost of the borrowed funds, but also leave a margin of reasonable compensation to the owners for providing their capital at risk (Van Horne, Wachowicz & Bhaduri, 2005). Net profit ratio of McDonald’s and Starbucks is 15. 67% & and 7. 15% respectively. McDonald’s is generating adequate returns for its owners. On the other hand, Starbucks net profit margin shows inadequate returns to its owners. Overall efficiency and profitability of McDonald’s is higher than Starbucks. Return on Proprietary Funds The ratio expresses the percentage relationship between net profit and proprietors funds or shareholder’s investment (Van Horne, Wachowicz & Bhaduri, 2005). It is used to ascertain the earning power of shareholders investment. Return on proprietors’ funds for McDonald’s is 15. 7% and for Starbucks it is 29. 5%. Starbucks has better performance and higher return than the McDonald’s. Earning Per Share The rate of dividend on shares depends upon the amount of profits darned by the firm. Whatever profit remains, after meeting all expenses and paying preference share dividend, belongs to equity shareholders (Van Horne, Wachowicz & Bhaduri, 2005). These are the profits earned on equity share capital. The earning per share is calculated by dividing the profit available to equity shareholders by the number of shares issued. This is a popular ratio as it measures the profitability of a firm from owner’s standpoint. McDonald’s EPS is higher than Starbucks which shows that the market price of the firm would be greater. It will also help the company to raise additional capital without any difficulty. This ratio plays an important in comparison of two companies from investment point of view. Investment Decision I would like to invest in McDonald’s Corporation as the overall performance and productivity is high for the firm. The liquidity analysis performed through current ratio and quick ratio reveals that the McDonald’s is better in terms of liquidity position. The company also has satisfactory position in terms of long term solvency. Though solvency ratio of Starbucks is higher but overall McDonald’s has good financial position. Firm is able to quickly convert various assets into cash. McDonald’s has high profit margins which is necessary for the higher returns to the shareholders. It shows that the resources are effectively utilized at the firm. EPS is very high which is necessary for the investment. Columbus vs Smith

John Smith, and William Bradford had many stories to tell during their explorations of the new world. Their depictions of the new world were seemingly different and each explorer possessed an ego that worked both as a strength and as a weakness to their determination of exploration. Each explorer seemed to use hyperbole and embellishment to glorify their own accomplishments. Columbus' letters emotionally differ from the first to the fourth letter in almost a usually depressing manner.His first letter shows an explorer filled with an emotional high seeking to gain riches and fame, describing each illustrious detail of his experience as elaborate as possible. Words that seem to sell the newly discovered lands in such a depiction that would make his fame and rewards seem inevitable. This description is far different than his last letter which his words show an aged explorer seeking to save his reputation and seeking to Just ride away in the unset and live peacefully for the remainder of his life.It seems that he is taking a polite path in which to illustrate to the Monarchs the sacrifices that were made and the lives lost to achieve the goals of seeking the new world. William Bradford writings illustrated a separatist group of great faith and determination to seek new land free from religious persecution. It is apparent that his writings show the strength of the pilgrims' faith thru despair and perils.He seems to have an underlying motive that speaks of strong faith amongst his fellow pilgrims that depicts a picture of their key to survival, a sentiment that would have flown in the face of the Church of England. Based on John Smith's writings, he had somewhat of a different Interpretation and description of his new found experiences. The words he chose to describe the new world seemed to be as Illustrious as the others except when describing Native Americans. His writings of his exploration experiences seemed to have a motive of power and monetary gain.

However, UN has failed to settle many of the international disputes developed after its formation and it failed to fulfil its founding promise to maintain international securi ty. UN & International security The 1971 Indo-Pakistan war is one of the major examples in which UN failed to interfere effectively. In 1965 also, both India and Pakistan engaged in a severe battle for the ownership of disputed Kashmir. Until now, Kashmir dispute has not been solved amicably and India and Pakistan come closer for a third battle recently after the 2008 Mumbai terrorist attack. In one of the recently revealed cables, WikiLeaks revealed how India and Pakistan responded immediately after the 26 November, 2008 Mumbai attack by Pak terrorists. In the days immediately after 10 Pakistani Lashkar e Taiba terrorists killed 166 people in Mumbai, a man pretending to be India's then External Affairs Minister, Pranab Mukherjee, called Asif Zardari, Pakistan's president, to warn it was about to launch a military response. President Zardari immediately contacted the country's military leadership and ordered its air force to be put on high alert to confront a possible Indian attack. He also mounted a diplomatic campaign to put pressure on India withdraw its "threat"(Nelson, 2011). Irrespective whether the revelation of WikiLeaks is right or wrong, one thing is sure; India and Pakistan came much closer for a war after the Mumbai terrorist attack and the international community is responsible for avoiding this war. United Nations has not shown many interests in preventing this war. In fact none of the UN officials have shown any interest in this issue. The disputes between India and Pakistan are widening gradually and international community is afraid of a possible war between these two nuclear powers in the near future. In this report, the company that has given emphasis is a food retailing company which operates in UK. This company has been able to have effective corporate governance. However, there are still issues that should be given attention in order to ensure that the company is implementing effective corporate governance. The report includes the analysis of the corporate governance structure of the company as well as the issues concerning the board of the organisation. Furthermore, this report also analyses the positive and the negative aspects of the corporate governance implemented in the organisation.All in all it can be concluded that the company has been able to have as strong and systematic corporate governance to ensure quality output. Late in the 1980s, it became apparent that a fundamental shift in the power relationship between a firm’s shareholders and its professional managers was taking place. Shareholders increased their control over the firm’s professional managers, demanding that managers respond more quickly to poor financial performance and to changes in the competitive environment. Stockholders were becoming increasingly dissatisfied with management’s slowness and the ineffectiveness of their actions in trying to adapt to new environmental conditions. Many stockholders became convinced that management did not keep the shareholders’ interests in mind while developing and implementing new strategies. Numerous stories have appeared in the business press chronicling the efforts of shareholders to exert control over corporate management. Fortune magazine’s January 11, 1993, issue featured a cover story by T. Stewart titled â€Å"The King Is Dead,† proclaiming the death of the imperial corporate presidency (Chaganti Sherman, 1998). An increasing number of chief executive officers have been forced to relinquish control of their organizations to others who will more quickly implement massive corporate change. According to Stapledon (1996), corporate governance can be defined as a system that is used in order to direct and control companies. As a matter of fact, this idea applies to all business sectors all throughout the world such as the banking institutions, financial corporations and other types of businesses such as the retailing industry. In particular, corporate governance refers to the examination of the control of a company as utilized by its directors. In accordance to theory, the directors of public companies are held responsible for their action by their shareholders (Davies, 1999). On the other hand, the authority of the shareholders to influence the behavior of the company directors is limited in practice and is rarely exercised. This then provides directors of considerable power to take action as they see fit. However, this is not always the case as it appears to be relatively different form that of the government in which the action of the officials is slightly restrained b y certain actions of the people it governs. Corporate governance, as a term, has come to imply good, in the non-moral as well as the moral sense. Its non-moral applications include efficient decision making, appropriate resource allocation, strategic planning, and so on (Monks Minow, 2001). Nonetheless, in its moral sense good corporate governance has come to be seen as promoting an ethical climate that is both morally appropriate in itself, and consequentially appropriate in that ethical behavior in business is reflected in desirable commercial outcomes (Francis, 2000). Thus, the links here are with due diligence, directors duties, and the general tightening of corporate responsibility. Corporate governance should set a proper example of good intent, and provide for those lower in corporate hierarchies the clear message that it is â€Å"do as I do† as well as â€Å"do as I say† (Francis, 2000). Middle and lower management find it hard to be ethical when it seems that the top of the corporate hierarchy have no commitment. The message of sincerity will always filter down, and no amount of deception will foster the view that a board is ethical when it plainly is not. Additionally, the commitment to ethical corporate governance by a board will enhance the prospects of an ethical infrastructure within the organization. That ethical infrastructure is a manifestation of the commitment, a means of preventing and resolving ethical problems, and an impressive demonstration of sincerity. Primarily, the objective of this paper is to analyse the corporate governance implemented in the company. Herein, the company that will be given emphasis is a food retailing company. Overview of the Company Kay (1995) stated that food retailing in Britain is dominated by six chains and that the oldest and largest is the company that will be analysed in this report. The founder started the company by establishing its first grocery store in south London over a century ago, and the family tradition and the philosophy of good quality products at competitive prices have remained central to the firm ever since. Conservatively managed, the company came to the stock market only in 1973 and since then has expanded steadily from its loyal, and mostly southern, customer base. Founded in the year 1869 in London, John and his wife established their first shop, a dairy business in an area called Drury Lane. Because of the fact that Drury Lane was considered as one of the underdeveloped areas in the city back then, the shop managed to gain recognition in the area as it had products that were inexpensive despite the fact that they were of high-quality. Due to the business’ resounding success, two more shops later on opened at other streets. In the year 1882, the firm already had four shops that were in operation. But this didn’t stop the owner from further expanding his business. Hence, he unveiled his plans to have a storehouse in a town in northwest London in order to accommodate his growing number of supplies. At the same time, it was in this place that the first brand product of the company, namely bacon kilns, was made. Consequently, it was in the same year that the company opened its first branch in a town called Croydon. Unlike the other towns, Croydon was prosperous. And so, the shop here sold superior quality products. Not to mention, it looked much better than the previous shops that had opened. From here on, Sainsbury would continue to grow. At present, this food retailing has been able to hold on to the lead in the market. As a matter of fact, the company is pretty much advanced in many aspects, especially with regards to technology and of course, its fresh products. The company was the first to be able to use scanning and computerized stock control technology. In addition, it had implemented certain techniques such as sales-based ordering. All-in-all, these factors contributed greatly to the company’s competitive advantage that it is currently enjoying. Not to mention, its computerized energy management has helped bring down the consumption of energy. Moving on, the firm has a wide range of products. In fact, during the year 1994, its number of products multiplied more than twice its original number. And as of the moment, the business continues to pride itself with its specialty in fresh foods such as fruits, breads and low-fat milks. Even up to now, their customers continue to demand for even better products which the company efficiently responds to. The corporation is now mainly concentrated on their business in the UK (United Kingdom). This includes the supermarkets, the bank and its recently acquired stores which sells bells. Moreover, the company now has other products which are not food-associated such as home equipment, beauty products, clothing apparel and other general merchandise. As of March 2004, figures indicate that the firm is operating at least 583 supermarkets and it also has 50 banking centers which are housed in the stores themselves and as a result, the workforce has ballooned to about 153,000 people. Nature and Style of Governance It can be said that the company has a very good framework that has been established in order to deal with different corporate matters. In fact, there is usually a properly structured program that is further reinforced by company policies and other procedures for the proper guidance of the directors in their daily duties. Consequently, the company has a clear reference guide to its business operations and corporate governance. The Board of Directors which oversee the businesses and the decision-making routines as well as the financial aspect of things, keeps watch. In addition, this includes the maintenance of the standards with regards to corporate governance in the corporation’s different sectors. The Board is made up of ten directors; two are executive while six are non-executive. Because of this, there is a fair division of responsibilities and other tasks among them. And while the non-executive directors are independent from the others, they are still able to contribute their experience and knowledge during Board discussions. Aside from the board of directors, the company also has other committees as part of their corporate governance. Just like the board, other committees have a well-established reference guide which also discusses their duties and their scope of authority within the corporation.Composed typically of independent directors who are non-executive, the remuneration committee handles the outline for the company’s remuneration policy which would eventually be reviewed by the board. For this reason, the committee usually receives and reviews financial reports and other statements delivered to them. Then, they make a comprehensive report before they submit it to The Board. Of course, there is also the group’s evaluation of the risks involved which has always been done to assist with the company’s next business move, and have further control of the corporation’s different operations. Issues Concerning the Board The board of directors is responsible for ensuring that the organization always has the best business performance and corporate governance. However, there are several issues that concern the board. One of which is in terms of the level of skill and care expected of the directors, specifically the non-executive directors. All non-executives should take note of the following comments in the Report, which could well foreshadow the approach of a court: â€Å"It must be recognised that non-executive directors may bring different skills to a board, some quite specialised, and that such persons may have limited accounting experience. However, accounting is not so complicated that such directors should be excused responsibility for the accounts. Accounting issues can be clearly explained so as to be understood by sensible laymen. If accounts are gone through carefully, explaining significant items in them, laymen should be able to ask pertinent questions and make informed judgments thereon. If, after all this, the layman cannot understand the companys accounts, then he ought not to be a director of that company. Often it is the director with little accounting experience whose common sense may lead him to question what those with accountancy experience may let pass. The accountings issues in respect of which some make criticisms were nearly all ones which involved no accounting complexity and what was acceptable and what was not should have been obvious to any reasonable director possessed of the facts who sensibly applied his mind to the issue. In most instances, those directors who decided to adopt the accounting were in a better position than the auditors to determine whether the treatment applied was acceptable or not. Those directors were thus not entitled to suspend their own independent judgment and rely upon the fact that the auditors failed to prevent them from adopting an unacceptable course. Another issue that concerns the Board is in terms of inadequate financial information. There are time that some of the members of the board, never prepared or presented to the Board any consolidated budgets or managements accounts which brought together the budgets and results of all the divisions in the Group. The absence of consolidated management accounts facilitated the practice of unacceptable year end adjustments being made by the accountant directors, unbeknown to most of the other directors, to create extra reported profits. In the last few years, the first the board as a whole knew of the results to be published was when the preliminary or interim announcement was circulated for information at the close of the board meeting that invariably occurred the day prior to announcement. In effect, the board as a whole never discussed the details of the results or what lay behind them. The main boards lack of understanding of the composition of the reported results was an extraordinary state of affairs which no director should ever have tolerated. Positive Aspects of Governance The Board has been able to attain complete control of all matters regarding the company. Their self-perseverance and obligation to their duties and finally, their obedience to the company laws all contribute to the development of the corporation. As such, The Board constantly believes that all the data pertaining to financial information and other facts regarding to their operations that are currently being used is reliable. The Board’s authority is clearly recognized within the company. And because of this, it is able to have a solid grip on the corporation’s actual operations, stakeholders and its financial concerns. Needless to say, because of the corporation’s proper structure and its commitment to the stakeholders and to the community as well, the board of directors has proven that it can efficiently handle both its ethical and legal responsibilities. Furthermore, the company is currently maintaining good relations and open communications with its investors. As a matter of fact, shareholders are regularly invited by the corporation whenever there are gatherings to discuss trade updates. Moreover, whenever there is an annual general meeting, investors get the chance to meet The Board members themselves. And of course, for private investors, they can also access the company’s website for various shareholder services. Undoubtedly, the company has good consideration for all of its stakeholders; past, present and future. There definitely seems to be a very well planned framework in the firm’s corporate division. Negative Aspects The weakness on this case however, is the fact that it cannot always be assured that there are no losses or other errors which may result from mistakes and inconsistencies by one of the committees or employees involved. In addition, having diverse populations, there can be a possibility of having internal problems between members who have different culture and beliefs. In addition, some problems occur in terms of giving value to the companies’ shareholders. There are times that the shareholder is not given the enough information about the status of the company, specifically that shareholder which have a small part in the business. This happens when the board of directors does not give value to their shareholders. Other negative aspects include the imperfection of financial reporting procedures which may definitely result in ineffective corporate governance. Recommendation Corporate governance is said to be one of the most important aspects to be considered in an industry. Hence, it is recommended that the company should be able to determine the most appropriate and effective corporate governance structure and approach so as to ensure that the business will adhere to all social responsibilities, legal and ethical aspects. Conclusion Corporate governance is a process which is concerned about how corporations are managed, how managers are governed, what questions face by boards of directors and the accountability a corporation has to shareholders. In this case, it can be seen that the food retailing industry has been able to implement effective corporate governance which guides the organization to become more competitive in the marketplace. Accordingly the issues concerning the board include the level of skill and care expected of the directors and inadequate financial information. In order for the organization to address the issue, the members of the board are trying to create a resolution for these issues. In terms of positive aspects, the members of the company have been able to contribute well in ensuring competitive performance of the company. The board of directors of this organization ensures that all their actions are legal and adheres to business ethics. In addition, they also ensure that their social responsibility is also incorporated with their accountabilities. Although the company has positive aspects, it also has its negative aspects. One of which adheres to the notion that, because of the mistakes and inconsistencies of the individual involved, it cannot always be assured that there will be no losses or errors that will occur. In ability to handle diversities and differences is also a negative aspect that can be attached with the company’s corporate governance practice. Lastly, inability to ensure shareholder value is another negative aspect of the company. It is said that the shareholder is regarded as the central stakeholder of each industry.
